RETAINER AGREEMENT

This Retainer Agreement ("Agreement") is entered into as of [Start Date], by and between:

1. SCOPE OF RETAINED SERVICES
Provider agrees to deliver the following services to Client on an ongoing, recurring basis: ongoing marketing and design services. The specific scope of work covered under this retainer may be further detailed in a separate statement of work or schedule referenced by this Agreement.

2. MONTHLY FEE & INCLUDED HOURS
In exchange for the services described above, Client agrees to pay Provider a fixed monthly retainer fee of [Monthly Fee, e.g. $2,500/month]. This fee includes the following scope each month: [Describe included scope, e.g. up to 20 hours of work, 2 revision rounds, response within 24 hours]. Unused hours or scope from one month do not roll over to the next unless otherwise agreed in writing.

3. ADDITIONAL WORK / OVERAGE RATE
Work requested beyond the included monthly scope will be billed at an additional rate of [Overage rate, e.g. $85/hour beyond included scope]. Provider will notify Client before beginning any work that is expected to exceed the included scope, where reasonably possible.

4. TERM & RENEWAL
This Agreement begins on [Start Date] and continues on a(n) Month-to-month basis. After any minimum term has been satisfied, this Agreement will automatically renew each month unless terminated in accordance with Section 5.

5. TERMINATION & NOTICE PERIOD
Either party may terminate this Agreement by providing 30 days written notice to the other party. Client remains responsible for payment of all fees earned up to and including the effective date of termination.

6. PAYMENT TERMS
The monthly retainer fee is due 1st of each month, in advance. Late payments may result in a pause of services until the account is brought current, at Provider's discretion.

7. CONFIDENTIALITY
Both parties agree to keep confidential any non-public business, financial, or client information disclosed during the course of this engagement, and not to disclose such information to third parties without prior written consent, except as required by law.

8. INDEPENDENT CONTRACTOR STATUS
Provider is an independent contractor, not an employee, partner, or joint venturer of Client. Provider is responsible for its own taxes, insurance, and business expenses, and nothing in this Agreement creates an employment relationship between the parties.

How to structure a freelance or agency retainer agreement

A retainer is one of the best things you can add to a freelance or agency business — but only if the agreement behind it is specific. A vague retainer ("ongoing support, $2,000/month") is where scope creep, late payments, and awkward client conversations all start. A well-structured one turns recurring work into recurring, predictable income with a clear off-ramp for both sides if it isn't working.

Why retainers protect predictable income

Project-based work means your revenue resets to zero every time a project ends — you're constantly re-selling yourself. A retainer converts a client relationship into a subscription: the same fee lands every month, for as long as the agreement runs, which makes your income far easier to forecast and your business easier to plan around. The tradeoff is that the scope and fee need to be locked down in writing, so "ongoing work" doesn't quietly expand to fill whatever time the client feels entitled to.

Defining scope so it doesn't creep

The single biggest cause of retainer resentment — on both sides — is undefined scope. Instead of "marketing support," write down what's actually included: a number of hours, a number of deliverables, a number of revision rounds, or a response-time commitment. Being specific here isn't bureaucratic, it's protective: it gives the client a clear picture of what they're paying for, and gives you a clean reference point the moment a request falls outside it.

Pricing overage hours fairly

Every retainer eventually gets a request that blows past the included scope. Decide your overage rate before that happens, not in the moment — a per-hour rate slightly above your standard rate is common, since overage work is unplanned and harder to schedule around. Stating the rate in the agreement itself means you're quoting a pre-agreed number instead of negotiating a new one under time pressure.

Setting the right notice period

The notice period is what makes a retainer safe to rely on. 30 days is the standard default — long enough to replace the lost revenue or wind down deliverables cleanly, short enough that clients don't feel trapped. Larger, more deeply embedded retainers (a dedicated dev team, an in-house-style marketing function) often justify 60 days; short trial-style engagements sometimes use 14. Whatever you choose, make it symmetric — the same notice period should apply if you decide to walk away too.

Converting one-off clients into retainers

The easiest retainer to sell is one to a client you've already delivered a project for. Once the initial project wraps, propose a smaller monthly scope that keeps the value flowing — ongoing updates, monthly reporting, a fixed block of support hours — framed as protecting the investment they just made rather than a new sales pitch. Clients who've already seen your work convert far more easily than cold prospects, and a documented agreement like this one makes saying yes low-friction for them.
